Terms of Service

Last updated: 16 October 2026

01About these terms

These Terms of Service ("Terms") govern all Services provided by SOWTK LTD, a company registered in England and Wales under company number 17524830, with its registered office at 128 City Road, London, EC1V 2NX, United Kingdom ("SOWTK", "we", "us"), to its customers ("Customer", "you").

Our Services are provided to businesses only. By ordering, accessing or using any Service, opening an account or accepting a quote, you confirm that you act for a business, that you have authority to bind it, and that it agrees to these Terms, our Acceptable Use Policy and our Privacy Policy, which form part of these Terms.

If you do not agree, do not use the Services. If a signed order, quote, statement of work or service agreement conflicts with these Terms, the signed document prevails for that Service only. If a translation of these Terms differs from the English version, the English version prevails.

02Definitions

In these Terms:

  • "Services" means all services we provide, including IT solutions, consultancy, cloud and hosting, infrastructure, websites and software, quantum-safe security, IT support, client support, telecommunications and Call Minutes;
  • "Order" means any quote, order form, statement of work or online order you accept;
  • "Account" means any account, portal access, credential or API key we provide;
  • "Call Minutes" means our wholesale telecommunications traffic services and related routes;
  • "Customer Data" means data you or your users provide to or process through the Services;

03Our services

We provide the Services described in your Order with reasonable skill and care, in line with good industry practice. Unless an Order expressly says otherwise, we do not promise that the Services will be uninterrupted, error-free or available in every location or network, or that any specific route, destination, carrier or result will always be available.

We may use subcontractors, suppliers and carriers to provide the Services, and we remain responsible for them as these Terms set out. We may change technical details of the Services, routes and suppliers at any time, provided this does not materially reduce a Service you have paid for.

04Your account and verification

You must give us complete and accurate information and keep it up to date. We may at any time ask for information or documents to verify your business, identity, beneficial owners, activity, licences and source of traffic, and may refuse, delay or limit any Service until verification is complete to our satisfaction.

You are responsible for your Account and all activity on it, whether authorised by you or not, including all usage and charges resulting from lost, stolen or misused credentials, insecure equipment or your own systems. Keep passwords, API keys and access credentials secure, use strong authentication, and tell us immediately at support@sowtk.net if you suspect unauthorised use. You remain liable for usage until you have told us and we have had a reasonable time to act.

05Orders and acceptance

An Order becomes binding when we accept it in writing, start providing the Service, or issue an invoice, whichever is first. Quotes are valid for the period stated, or 30 days if none is stated. We may refuse any Order without giving reasons.

Delivery dates are estimates unless an Order expressly makes them binding. Delays caused by you, including late information, access or approvals, extend our timelines and may be charged.

06Prices, payment and balance

Prices are set out in your Order or rate notice and exclude VAT and other taxes, which you must pay in addition.

Telecommunications and Call Minutes are prepaid unless we agree credit terms in writing. Rates are valid only on the day issued unless your Order states otherwise, and may change with notice. You must keep enough balance for your usage. Any negative balance is immediately due, and we apply payments first to negative or overdue amounts. Prepaid balance is not a deposit, earns no interest, and is not refundable except where we end the agreement without cause, or where the law requires.

Other Services are invoiced as set out in the Order and are payable within 14 days of the invoice date, without set-off or deduction. If payment is late, we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998, recover our reasonable collection costs, and suspend the Services.

If you reverse or dispute a payment without first raising it with us, we may suspend all Services, and the amount, plus our costs, remains due.

07Billing adjustments and disputes

You must raise any billing dispute in writing within 30 days of the invoice or charge, with reasonable detail. After that period, the charge is treated as accepted. You must pay any undisputed part on time.

Our records, including call detail records, are the primary evidence of usage and charges unless clearly shown to be wrong.

We may correct, add or recover charges that were not billed, under-billed or wrongly rated for up to 6 months after the Service was provided, and for up to 12 months for charges passed on by carriers, suppliers or authorities, including surcharges, short-duration or abandoned-call charges, fraud-related charges and regulatory fees. A previous charge or deduction does not prevent a later correction for the same period.

08Telecommunications and Call Minutes

This section applies to telecommunications and Call Minutes in addition to the rest of these Terms.

  • You must have every licence, registration and authorisation required for your traffic and activity, in every country where your traffic originates, transits or terminates, and comply with all laws and regulations, including the Communications Act 2003, Ofcom General Conditions, PECR and anti-nuisance-call rules.
  • You may present only a caller ID (CLI) that you own or are authorised to use, and must never present false, misleading or spoofed CLI.
  • Telemarketing, automated dialling, call-centre, high-volume and short-duration traffic require our prior written approval.
  • Traffic must meet reasonable quality levels. We may set minimum answer-seizure ratio (ASR) and average call duration (ACD) thresholds and charge surcharges for traffic that does not meet them, as notified in your rates.
  • You are responsible for all traffic sent through your Account, including fraudulent or unauthorised traffic and traffic from your own customers, and for all charges and fines resulting from it.
  • Resellers must make their customers comply with these Terms and our Acceptable Use Policy and are responsible for them.
  • We may block destinations, numbers, ranges or routes, and change routes, at any time to protect quality, prevent fraud or meet legal or carrier requirements. Some countries may be restricted or unavailable.
  • The Services are not a replacement for an ordinary telephone line and do not guarantee access to emergency services. You must provide other means of calling emergency services.
  • You must cooperate promptly with traceback, investigation and information requests from us, carriers or authorities.

09IT, hosting and project services

This section applies to IT, cloud and hosting, infrastructure, websites, software, security and support Services.

  • Customer Data remains yours. You are responsible for its lawfulness, accuracy and backups unless backup is expressly included in your Order. Keeping your own independent backup is strongly recommended.
  • You must provide timely access, information, approvals and cooperation. We are not responsible for delays or failures caused by your systems, third-party software or instructions.
  • Project deliverables are accepted when you approve them in writing, or 10 business days after delivery if you do not report material defects, or when you first use them in production.
  • Service levels, response times and service credits apply only where stated in your Order or service level agreement, and service credits are your sole remedy for the failures they cover.
  • Security Services reduce risk but cannot guarantee that every attack or incident will be prevented or detected.
  • Third-party software, cloud platforms and hardware are subject to their providers' own terms, and we pass on only the warranties those providers give us.
  • At the end of a Service, we will make your Customer Data available for return for 30 days, after which we may delete it.

10Your responsibilities

You must:

  • use the Services lawfully and only for your genuine business purposes;
  • comply with our Acceptable Use Policy and our reasonable instructions;
  • keep your equipment, software and credentials secure and up to date;
  • ensure your users and customers comply with these Terms;
  • obtain every consent and notice needed for data and communications you process through the Services, including for recording calls where you use such features;
  • not resell the Services unless your Order allows it.

11Acceptable use

Your use of the Services is subject to our Acceptable Use Policy, which forms part of these Terms. A breach of the Acceptable Use Policy is a material breach of these Terms.

12Suspension and restriction

We may suspend, restrict or limit any Service, Account, feature, route or destination, in whole or in part, immediately and without liability, if:

  • we suspect fraud, abuse, unlawful use, security risk or unusual traffic;
  • you breach these Terms or the Acceptable Use Policy;
  • you do not pay on time, have a negative balance, or reverse a payment;
  • verification is incomplete or we cannot verify information you gave us;
  • a carrier, supplier, regulator or authority requires it; or
  • it is needed to protect our network, systems, customers or suppliers.

Where reasonably possible and lawful, we will tell you why and how the issue can be resolved. Charges continue during suspension caused by you. We may close an Account that has had a negative balance for 30 days, or no activity for 24 months after giving you 30 days' notice.

13Intellectual property

We and our licensors own all intellectual property in the Services, our software, documentation, systems, know-how and brand. You receive only a limited, non-exclusive, non-transferable right to use the Services during your agreement.

Ownership of custom deliverables passes to you when they are paid in full, unless your Order says otherwise. We keep ownership of our pre-existing materials, tools and general know-how, and grant you a licence to use any of them included in your deliverables. You may not copy, modify, reverse-engineer or resell our software or Services except as the law expressly allows.

14Confidentiality

Each party must keep the other party's confidential information secret, use it only for the agreement, and disclose it only to people who need to know it and are bound by confidentiality, or where the law requires. This obligation continues for 5 years after the agreement ends, and indefinitely for trade secrets and Customer Data.

15Data protection

Each party must comply with the UK GDPR and the Data Protection Act 2018. Our Privacy Policy explains how we process personal data as a controller. Where we process personal data on your behalf as a processor, we act only on your documented instructions under a data processing agreement that meets Article 28 of the UK GDPR, and you confirm that you have a lawful basis and have given all required notices for that processing.

16Warranties and disclaimers

Except as expressly set out in these Terms or an Order, the Services are provided "as is" and "as available", and all warranties, conditions and terms implied by statute, common law or otherwise are excluded to the fullest extent permitted by law, including terms as to satisfactory quality and fitness for a particular purpose.

We do not warrant that the Services will meet all your requirements, that any route or destination will remain available, or that results achieved through the Services will be achieved.

17Limitation of liability

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be limited by law.

Subject to that, we are not liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any:

  • loss of profit, revenue, business, contracts, anticipated savings or goodwill;
  • loss or corruption of data, except our obligation to restore it from our latest backup where backup is part of your Order;
  • indirect, consequential or special loss;
  • loss caused by your systems, your users, third-party networks, carriers or the internet.

Our total aggregate liability arising under or in connection with the agreement in any 12-month period is limited to the total charges you paid for the affected Service in the 3 months before the event giving rise to the claim. Each provision of this section is a separate limitation and applies even if we were told of the possibility of loss.

18Indemnity

You will indemnify us and our officers, staff, suppliers and carriers against all claims, losses, damages, fines, penalties, carrier charges, costs and expenses (including reasonable legal fees) arising from:

  • your breach of these Terms or the Acceptable Use Policy;
  • any unlawful, fraudulent or unauthorised use of the Services through your Account;
  • traffic, content or data you, your users or your customers send through the Services;
  • any claim that Customer Data or materials you provide infringe third-party rights.

We may deduct any such amount from your balance or invoice it to you.

19Events outside our control

We are not liable for any delay or failure caused by events beyond our reasonable control, including failures of carriers, suppliers, power, internet or networks, cyber attacks, acts of government or regulators, sanctions, war, terrorism, civil unrest, pandemics, fire, flood or natural disasters, and industrial action.

20Ending the agreement

Either party may end a Service as set out in its Order, or, if the Order says nothing, by giving 30 days' written notice.

We may end the agreement or any Service immediately by notice if you materially breach these Terms and do not remedy it within 7 days of being asked, breach the Acceptable Use Policy, commit or are suspected of fraud, become insolvent or enter any insolvency process, or if continuing would be unlawful or expose us to regulatory risk.

When the agreement ends, all amounts owed become immediately due, minimum terms and committed charges remain payable, your right to use the Services ends, and sections that by their nature should continue (including payment, liability, indemnity, confidentiality and governing law) continue to apply. Any refund of unused prepaid balance is made after deducting all amounts owed, including costs, fines and losses from fraudulent or prohibited use.

21Changes to services and these terms

We may change the Services, prices and these Terms. We will give at least 30 days' notice of changes that are materially adverse to you, by email or through our Services, except where a change is needed urgently for legal, regulatory, security or fraud reasons, or where carrier rates change, in which case notice may be shorter. If you do not accept an adverse change, you may end the affected Service before it takes effect. Continued use after a change takes effect means you accept it.

22General provisions

  • Entire agreement: these Terms, our policies and your Orders are the entire agreement and replace earlier discussions. You do not rely on any statement not set out in them.
  • Assignment: you may not transfer your rights without our written consent. We may transfer ours to an affiliate or successor.
  • Notices: we may send notices to the email address on your Account. Notices to us must be sent to support@sowtk.net.
  • Severance: if any provision is invalid, the rest remains in force.
  • Waiver: a delay in enforcing a right is not a waiver of it.
  • Third parties: no one other than the parties has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
  • Sanctions and export: you must comply with all applicable sanctions and export laws and must not use the Services for or on behalf of sanctioned persons or territories.

23Governing law and disputes

These Terms and any dispute or claim arising out of or in connection with them, including non-contractual disputes, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction. We may also seek urgent relief, or recover debts, in the courts of the place where you are established.
